Term Conditions

These Terms and Conditions (“Terms”) govern your use of the Royal Xclusives ecommerce platform (“Platform”) for listing your brand and products. By submitting your business information and listing products on our Platform, you (“Client”) agree to be bound by the following terms:

1. Acceptance of Terms
By listing your products on the Royal Xclusives Platform, you confirm that you have read, understood, and agree to comply with these Terms in their entirety.

2. Listing Services

• Platform Access: Royal Xclusives provides an online marketplace designed to help luxury brands reach their maximum potential.
• Client Responsibility: You are solely responsible for the accuracy, completeness, and legality of all information provided, including product descriptions, images, pricing, and brand details.
• Compliance: All listings must comply with applicable laws, regulations, and any guidelines of your country or any provided by Royal Xclusives when necessary.

3. Commission and Payment Terms

• Commission Fee: Royal Xclusives will retain a commission of 10% on the sale price of each item sold through the Platform. This commission is automatically deducted from the gross sale amount prior to revenue remittance.
• Revenue Remittance:
• As a condition of listing, you must provide clear and accurate instructions detailing how you wish to receive your revenue from sales.
• It is your responsibility to ensure that the remittance details are correct. Any issues or delays arising from inaccurate remittance information will be solely your responsibility.
• Remittance schedules and processing times are detailed in our Payment Remittance Policy, which is incorporated into these Terms by reference.

4. Client Obligations and Representations

• Accuracy: You warrant that all content, including product descriptions, images, pricing, and any other information submitted, is accurate and not misleading.
• Intellectual Property: You affirm that you have the right to use all content submitted and that such content does not infringe on any third-party rights.
• Updates: You agree to promptly update any changes to product details, pricing, or remittance information to ensure continued accuracy on the Platform.

5. Royal Xclusives’ Rights and Responsibilities

• Monitoring and Removal: Royal Xclusives reserves the right to review, modify, or remove any listings that do not comply with these Terms or that we deem harmful to our Platform or its users.
• Transaction Facilitation: Our role is limited to providing a secure online marketplace for luxury brands across Africa and facilitating payment processing. We are not responsible for the fulfilment of orders or post-sale service of products sold.
• Dispute Resolution: Any disputes arising between you and buyers will be subject to the dispute resolution procedures provided on the Platform. Royal Xclusives shall not be held liable for issues stemming from these transactions, except as provided in our policies.

6. Limitation of Liability

1. Indirect Damages: Royal Xclusives will not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform.
2. Liability Cap: Our total liability under these Terms is limited to the total commission fees collected by Royal Xclusives over the six (6) months preceding the claim.

7. Termination

• Termination by Either Party: Either party may terminate the listing agreement by providing written notice for your listing to be removed.
• Outstanding Obligations: Termination does not relieve either party of obligations incurred prior to termination. Any outstanding payments due will be settled in accordance with our Payment Remittance Policy.

8. Modifications to Terms
Royal Xclusives reserves the right to modify these Terms at any time. You will be notified of any changes, and your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.

9. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising under these Terms shall be resolved in accordance with the dispute resolution procedures provided on the Platform.

10. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Royal Xclusives regarding your listing and sales on the Platform.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• No Waiver: Failure by Royal Xclusives to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision.
